ND Collab Partner & Affiliate Agreement

1. Who this covers

This Agreement is between you (“you,” the “Partner” or “Affiliate”) and the Neurodiverse Collaborative Network (“ND Collab,” “we,” “us”). It applies to everyone participating in any of our partner programs — Ambassador, Community Partner, and Founding Partner — and to anyone taking part in our affiliate/referral program. By submitting an application, checking the box to accept this Agreement, or participating in the program, you agree to these terms.

2. Becoming and staying a partner

Applications are reviewed and approved at our discretion; approval isn’t guaranteed. Before you go live and start referring, you’ll complete our free Partner & Affiliate Certification, which covers our values and how to represent us well. We may ask Founding Partners to complete an additional values and credentialing review. We can decline or end a partnership at any time (see Section 11).

3. How you represent ND Collab

You agree to represent ND Collab honestly, respectfully, and in line with our values. Specifically, you will:

• Present us in a neurodiversity-affirming way, and never use fear, pity, “tragedy” framing, or promise cures or fixes;
• Not make false, exaggerated, or misleading statements about ND Collab, our memberships, or our results;
• Not make medical, diagnostic, therapeutic, or treatment claims, or guarantee any specific outcome;
• Not send spam, and comply with all applicable laws, including the CAN-SPAM Act and any anti-spam and privacy laws that apply to you;
• Only use permission-based email and legitimate channels you have the right to use.

4. Disclosing that you’re an affiliate

Whenever you share a referral link, code, or QR code — on social media, in email, on a website, or anywhere else — you must clearly and conspicuously disclose that you may earn a commission. Simple, honest wording is best (for example, “I’m an ND Collab affiliate and earn a commission if you join through my link”). This is required by the U.S. Federal Trade Commission’s endorsement guidelines, and it’s part of representing us with integrity.

5. Referral tracking and commissions

When you’re approved, you get a unique referral link and QR code in your affiliate panel. When someone follows your link and joins, a cookie credits the referral to you (subject to its tracking window). You earn commissions as follows:

• You earn a flat, recurring commission on each paying member you refer directly, plus smaller commissions on paying members referred by affiliates in your downline, up to several levels deep. The exact amounts for each level are shown in your affiliate panel.
• Commissions are earned only on active, paid memberships. Free memberships, complimentary or comped accounts, and $0 levels do not generate a commission.
• Commissions continue for as long as the referred member keeps an active paid membership (recurring), unless we notify you otherwise.
• You may not earn commissions on your own memberships or purchases, or on self-referrals.
• If a referred order is refunded, charged back, cancelled, or reversed, the related commission is reversed and may be deducted from your balance.
• We may adjust commission rates or program terms going forward, with reasonable notice. Changes apply to future earnings, not to commissions already earned.

6. Payouts

Commissions accrue in your account as you refer paying members. Once your balance reaches the payout minimum shown in your affiliate panel (currently US$10), you become eligible for a payout. Balances below the minimum roll over and keep accumulating until they cross it. Payouts are issued to the PayPal (or other) payment details you provide, and are processed manually at our discretion. You are responsible for keeping your payment details accurate; we’re not liable for payouts sent to an incorrect address you provided.

7. You’re an independent contractor

Nothing in this Agreement creates an employment relationship, legal partnership, joint venture, or agency between you and ND Collab. You are an independent contractor. You have no authority to enter into contracts, make commitments, or incur obligations on our behalf, and you may not represent that you can.

8. Taxes

You are solely responsible for any taxes on the commissions you earn. If you’re a U.S. taxpayer, we may require a completed Form W-9 before issuing payouts, and we may issue a Form 1099 if your earnings meet or exceed the IRS reporting threshold (currently $600 in a calendar year). If you’re outside the U.S., you’re responsible for reporting and paying taxes under your local rules.

9. Prohibited practices

The following are not allowed and may result in withheld commissions, removal from the program, and forfeiture of unpaid balances:

• Bidding on ND Collab’s trademarks, brand names, or close variations in paid search, or using misleading domains or typo-squatting;
• Cookie stuffing, forced clicks, fake or incentivized sign-ups, or any attempt to game referral tracking;
• Self-referrals, or purchasing through your own link to earn a commission;
• Spam, deceptive advertising, or false and misleading claims;
• Posting our materials on sites with unlawful, hateful, discriminatory, or adult content, or otherwise conducting yourself in a way that harms our reputation or community.

10. Using our name and materials

While you’re an active partner, we grant you a limited, non-exclusive, revocable license to use the ND Collab name, logo, and approved promotional materials solely to promote ND Collab under this Agreement. Please follow any brand guidelines we provide. You may not modify our logos, imply an endorsement or relationship beyond your actual partner status, or use our brand in any way that’s misleading. This license ends automatically when your partnership ends, at which point you’ll stop using our name, logos, and referral links.

11. Term and ending the partnership

This Agreement starts when you’re approved and continues until either of us ends it. Either you or ND Collab may end the partnership at any time, for any reason, by giving notice. When the partnership ends, your referral links are deactivated. Any commissions you’ve already earned above the payout minimum will be paid out in the normal course — except where the partnership is ended for fraud, abuse, or a serious violation of this Agreement, in which case we may withhold and forfeit unpaid commissions.

12. Changes to this Agreement

We may update this Agreement and our program terms from time to time. When we make material changes, we’ll take reasonable steps to let partners know. Your continued participation after a change takes effect means you accept the updated terms. The current version and effective date are always shown at the top of this page.

13. No guarantee; limitation of liability

We don’t guarantee any particular level of earnings — what you earn depends on the referrals you generate. The program is provided “as is.” To the fullest extent permitted by law, ND Collab’s total liability to you relating to this Agreement or the program is limited to the amount of commissions actually owed to you, and we’re not liable for indirect, incidental, or consequential damages.

14. Governing law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules, and any disputes will be handled in the state or federal courts located there.
